Terms of Service

The Rules of the Bridge.

These Terms of Service ("Terms") form a binding agreement between you and ShipKith Logistics Network Inc. ("ShipKith", "we", "us"). They govern your use of our mobile application, website, APIs, and related services (the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, please do not use ShipKith.

Acceptance of Terms

By tapping "Sign Up", signing in, or otherwise accessing the Service, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. You also confirm that you have the legal capacity to enter into this agreement in your country of residence.

If you are accepting on behalf of an organization, you represent that you are authorized to bind that organization and the word "you" refers to both you and the organization.

Eligibility & Account

To use ShipKith you must be at least 18 years old, able to enter into a binding contract, and not be prohibited from using the Service under the laws of your jurisdiction. To carry packages you must additionally pass our identity verification (KYC) process.

  • Provide accurate, current, and complete information when registering and keep it up to date.
  • You are responsible for safeguarding your password and any activity that occurs under your account.
  • You may hold only one active account. We may refuse registration or close duplicate accounts at our discretion.
  • Notify us immediately at support@shipkith.com if you suspect unauthorized access to your account.

ShipKith's Role

ShipKith operates a peer-to-peer marketplace that connects senders ("Senders") with community travelers ("Carriers") who agree to transport items as part of their pre-planned journeys. We are not a freight forwarder, postal operator, customs broker, or carrier of goods.

We do not take possession of items, set or control routes, or guarantee specific delivery outcomes. All shipping decisions — including acceptance, route, and delivery — are made by Senders and Carriers directly. Our role is limited to providing the platform, verifying identities, holding escrow, and helping resolve disputes.

Senders & Drops

If you post a drop as a Sender, you are responsible for the legality, accuracy, and packaging of every item you ship through the Service. You agree that:

  • Every item description, weight, photo, and declared value is truthful and complete.
  • You have the legal right to ship the item from the origin country and import it into the destination country.
  • You have completed any customs declaration required by law and are ready to provide supporting documents on request.
  • Packaging is adequate for the stated item and the typical conditions of the route (temperature, handling, luggage compression).
  • You will not include any Prohibited Item (see Section 6) or attempt to conceal one inside a permitted item.
  • You will be available at the agreed pickup time or arrange a trusted person on your behalf.

Carriers & Trips

If you post a trip and accept drops as a Carrier, you are transporting items as personal baggage under the laws and airline/transport rules that apply to your trip. You agree that:

  • You have independently inspected each item before accepting it and have declined anything you cannot verify.
  • You will comply with airline baggage policies, customs declarations, and any duties owed in the destination country.
  • You will not open, alter, repackage, or sell any item entrusted to you, except as reasonably required for customs inspection.
  • You will keep accepted items secure during transit and hand them to the intended recipient with the QR confirmation flow.
  • You will not re-route, sub-delegate, or offload a bridge to another person without ShipKith's written consent.
  • You will promptly report any delay, loss, seizure, or damage via the Support screen.

Prohibited Items

The following categories may never be posted, accepted, or transported through ShipKith, even if legal in one of the two countries:

  • Controlled drugs, narcotics, pharmaceuticals without prescription, and any substance restricted under the 1961, 1971, or 1988 UN drug conventions.
  • Firearms, ammunition, explosives, fireworks, and any component of a weapon.
  • Hazardous materials, flammables, compressed gases, corrosives, lithium batteries above airline limits, and anything classified as IATA Dangerous Goods.
  • Cash, negotiable instruments, precious metals, or currency in quantities exceeding applicable reporting thresholds.
  • Counterfeit, stolen, smuggled, or infringing goods of any kind.
  • Human remains, human tissue, biological samples, and live animals.
  • Perishable food without appropriate packaging and declared shelf life.
  • Anything that the destination country classifies as contraband or that violates applicable sanctions or export-control law.

Prohibited Conduct

To keep the community safe you agree not to:

  • Circumvent escrow by exchanging payment or delivery confirmation outside the Service.
  • Create fake drops, trips, or reviews, or otherwise manipulate the trust and ratings system.
  • Harass, threaten, defraud, or discriminate against any other user.
  • Share another user's personal information without their consent.
  • Scrape, decompile, or reverse-engineer the Service, or use it to build a competing product.
  • Interfere with the normal operation of the Service, introduce malware, or attempt unauthorized access.
  • Use the Service for money laundering, sanctions evasion, or any unlawful purpose.

The Bridge Lifecycle

A "Bridge" is the lifecycle of a single shipment on ShipKith — from a posted drop, through matching, to QR-confirmed delivery. You agree that:

  • A bridge is formed only when both Sender and Carrier accept a match and the Sender's payment has been captured into escrow.
  • The Carrier collects the item at the agreed pickup location and updates transit milestones in the app.
  • Delivery is confirmed when the recipient scans the Carrier's QR code — this is the signal for escrow release.
  • If QR confirmation cannot occur for any reason, please file a dispute through Support within 72 hours.

Fees, Escrow & Payouts

ShipKith charges a platform fee on each bridge, disclosed to you before you confirm the match. The Sender's total price is captured at booking and held in escrow with our payment processor (currently Stripe). Funds are released to the Carrier after QR-confirmed delivery, minus the platform fee and any applicable taxes.

Payouts are delivered to the payout method on file (card, bank, or supported mobile money provider). Payout timing depends on the processor and destination country and is typically 1–7 business days after escrow release.

You are responsible for any bank or network fees charged by your payout method. We may withhold funds temporarily where we reasonably suspect fraud or where an investigation is required by law.

Taxes, Customs & Compliance

You are solely responsible for any import duties, taxes, customs declarations, export permits, and any other regulatory obligation triggered by shipping items across borders. ShipKith is not your customs broker and does not provide tax advice.

If customs or any regulator detains, seizes, or destroys an item, ShipKith is not liable for its value. We will cooperate with lawful requests and may share limited account and shipment data with authorities as required.

Cancellations, Disputes & Refunds

You can cancel a bridge at any time before pickup, subject to the cancellation policy displayed in the app at booking. Post-pickup cancellations require Support intervention.

  • Sender-initiated cancellation before pickup — full refund minus processor fees.
  • Carrier-initiated cancellation before pickup — full refund to the Sender.
  • Item lost, damaged, or undelivered — file a dispute within 72 hours of the expected delivery window. ShipKith will review chat history, bridge logs, and any evidence you provide. Outcomes may include partial or full refunds, escrow release, or account action against a party who violated these Terms.
  • Fraudulent claims — filing knowingly false claims is grounds for account termination and referral to the authorities.

User Content, Ratings & Reviews

When you post content to the Service (photos, descriptions, messages, reviews, community posts) you grant ShipKith a worldwide, royalty-free, non-exclusive license to host, display, and use that content for the limited purpose of operating and improving the Service. You retain ownership of your content.

Ratings and reviews must be honest and based on your direct experience. Defamatory, discriminatory, or paid-for reviews are prohibited and may be removed at our discretion.

Intellectual Property

ShipKith, the ShipKith logo, Bridges, and all related marks, software, designs, and content are owned by ShipKith or licensed to us. You receive a limited, revocable, non-transferable license to access the Service for personal use in accordance with these Terms. All other rights are reserved.

Suspension & Termination

We may suspend or terminate your account, or refuse to carry out a transaction, if we reasonably believe you have breached these Terms, violated applicable law, or put the community at risk. You may terminate your account at any time from the app's Settings screen.

Sections that by their nature should survive termination — including Sections 6, 7, 10, 12, 13, 15, 16, and 17 — will continue to apply after your account is closed.

Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied — including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free.

ShipKith does not warrant the acts or omissions of any user, the quality of any item shipped, or that any specific match will result in a completed bridge.

Limitation of Liability

To the fullest extent permitted by law, ShipKith, its affiliates, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability to you for any claim arising out of or relating to the Service will not exceed the greater of (a) the total platform fees you paid ShipKith in the 12 months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CA$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages — in those places these limits apply only to the extent permitted by law.

Indemnification

You agree to indemnify and hold ShipKith harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) any item you posted, accepted, or transported.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Before filing any formal action, you agree to first contact support@shipkith.com so we can try to resolve the dispute informally within 30 days.

If we cannot resolve the dispute informally, any claim must be brought in the courts of Ontario, Canada, and you consent to their personal jurisdiction — except where local consumer-protection law requires otherwise.

Changes to These Terms

We may update these Terms from time to time. When we make material changes we will notify you in the app, by email, or by a prominent notice on this page before the change takes effect. Your continued use of the Service after the effective date means you accept the updated Terms.
